The company has been informed of the following shareholder agreements, which have been filed with the Mercantile Register corresponding to the company's domicile, as required by the Securities Market Law:


  • On 1 February 2008, Esther Koplowitz completed the acquisition of Ibersuizas Holdings' stake in B-1998, which is the largest shareholder in Fomento Construcciones y Contratas (FCC); it owns 52.483%. The agreement to sell was reached on 24 December 2007. The capital stock of B-1998 is now owned by Esther Koplowitz (83.92%), Simante, represented by Robert Peugeot (5.73%), Larranza XXI (Bodegas Faustino), represented by Lourdes Martínez (5.34%), and Eurocis, represented by José Aguinaga (5.01%).
  • Public instrument containing the adherence to the investment, divestment and shareholder contract of the company B 1998 S.L., and the companies: 'HIPERCENTRO, S.L.', 'BISCAYBAY HOLDING, S.L.', 'CATALANA DE OBRAS Y SERVICIOS, S.A.' and 'EBM ALISMA FCR', shareholders of 'IBERSUIZAS HOLDINGS, S.L.' granted before the Madrid Notary, Mr. Segismundo Álvarez Royo-Villanova, on 22 May 2007.
  • Public instrument containing the novation and amendment of the investment, divestment and shareholders' agreement of B 1998, S.L. that was granted before the Madrid notary, Mr. Segismundo Álvarez Royo-Villanova, on 22 May 2007, modifying the rules established for pricing the shares of B 1998, S.L. in the event of the exercise of the call option provided in that agreement to Ms. Esther Koplowitz and Dominum before 1 January 2011, so as to exclude, from the formula for calculating that price, any and all amounts arising from the companies UNILAND, S.A. and GLOBAL VÍA, S.A. and their respective groups.
  • Public instrument containing the novation and amendment and signature of the investment, divestment and shareholders' agreement of B 1998, S.L. that was granted before the Madrid notary, Mr. Segismundo Álvarez Royo-Villanova, on 22 May 2007, relating to the company B 1998, S.L. signed with the company LARRANZA XXI, S.L. and BODEGAS FAUSTINO, S.A. on 13 January 2005, modifying the rules established for pricing the shares of B 1998, S.L. in the event of the exercise of the call option provided in that agreement to Ms. Esther Koplowitz Romero de Juseu and DOMINUM before 1 January 2011, so as to exclude, from the formula for calculating that price, any and all amounts arising from the companies UNILAND, S.A. and GLOBAL VÍA, S.A. and their respective groups.

    Those amendment do not in any way alter the holding of Ms. Esther Koplowitz Romero de Juseu in B 1998, S.L. or the agreements between the parties relating to the governance of B 1998, S.L. or indirectly of Fomento de Construcciones y Contratas, S.A. or any provision relating to the control of those two companies.
