Today Esther Koplowitz sent the following letter to the National Stock Market Commission.

In reply to the request for information in your letter of 27/04/04, I would like to state as follows:

1. Acciona has not held any conversations or negotiations of any sort with B-1998, S.L., with the object of carrying out any sort of total or partial concentration between Acciona and FCC.

2. FCC has not held any conversations or negotiations with Acciona with the object of carrying out the amalgamation of the two Companies.

3. B-1998, S.L., has no knowledge of any conversations or negotiations between Acciona and Veolia Environnement, S.A. (VE), with the object of acquiring VE's shareholding in B-1998, S.L.

4. The negotiations I am holding with VE concerning the disposal of its shareholding in B-1998, S.L., are continuing satisfactorily but have not to date given fruit in the form of any sort of agreement.

5. I have no objections to the above statements' being publicly disseminated as a relevant event.
